1. Agreement and Eligibility

By accepting these Terms when placing an order or entering a service agreement, you agree to these Terms and the applicable order details.

You must be at least 18 years old and authorized to enter into an agreement for the business you represent.

2. Our Services

Inside GPT provides business plugin and integration development, configuration, submission assistance, and related services for use with ChatGPT and other platforms identified in your order.

Depending on your purchased plan, services may include connecting business information, displaying products or services, supporting customer inquiries, enabling specified actions, hosting, maintenance, and updates.

Your order or signed service agreement identifies the features, deliverables, fees, billing schedule, and support included in your purchase. Additional features or work require your approval of any additional charges.

An integration can access or perform only the functions actually configured and supported by the connected systems and platform.

3. Independent Business; No OpenAI Affiliation

Inside GPT is an independent service operated by UpPluck Social LLC. We are not OpenAI and are not affiliated with, sponsored by, or endorsed by OpenAI.

ChatGPT, OpenAI, and other third-party names and trademarks belong to their respective owners. References to those names describe compatibility or the intended platform for our services.

Platform approval of a plugin does not constitute an endorsement of Inside GPT, UpPluck Social LLC, or your business.

4. No Guaranteed Recommendations or Business Results

Purchasing our services does not purchase preferred placement in ChatGPT’s answers, organic search rankings, or recommendations.

We do not guarantee:

  • That ChatGPT will recommend your business in response to any particular question.
  • Any specific directory position, search ranking, geographic visibility, or frequency of appearance.
  • That users will discover, install, enable, or use your plugin.
  • Any number of leads, appointments, customers, sales, or amount of revenue.
  • Exclusivity in an industry or geographic area unless expressly included in a written agreement.

Results depend on factors outside our control, including user requests, platform availability, platform policies, competing businesses, and customer adoption.

5. Development, Submission, and Approval

Development begins after we receive the payment, information, access, and materials required for your project.

Where platform review is required, allow an estimated 3–5 weeks after submission for approval. This is Inside GPT’s planning estimate, not an official OpenAI deadline or guaranteed maximum. Review may take longer, and additional information or revisions may be requested.

OpenAI or the applicable platform independently controls approval, rejection, publication, availability, and removal decisions.

We will inform you of material submission updates and requests that require your participation. We will not represent a pending submission as approved.

6. Approval Denial: 100% Refund Guarantee

If OpenAI denies approval of the plugin purchased through Inside GPT, we will refund 100% of the purchase amount you paid to Inside GPT for that plugin and its associated service package, including setup fees and any related recurring fees already collected.

No development, administrative, processing, or cancellation fees will be deducted. No questions asked.

We will notify you of the denial and initiate your refund within 10 business days after receiving the denial. You do not need to accept a resubmission, account credit, or alternative service instead of a refund.

If you receive a denial notice before we do, forward it to Info@uppluck.com with enough information for us to identify your purchase.

Refunds will be returned to the original payment method where available. Your financial institution may require additional time to post the credit.

This guarantee concerns denial of the purchased plugin’s approval. A submission that remains pending is not a denial. If approval is delayed beyond the estimated period, you may contact us for an updated status and available cancellation options.

This guarantee does not limit any broader refund promise made with your purchase or any rights available under applicable law.

7. Pricing, Recurring Billing, and Cancellation

Your checkout page or written order will disclose the applicable setup fee, recurring fee, billing frequency, subscription start date, minimum commitment, if any, and any separately charged usage or third-party costs.

If you expressly enroll in a recurring subscription, you authorize the disclosed recurring charges until cancellation. A one-time purchase does not authorize recurring charges.

You may cancel recurring services through any cancellation method provided in your account or by emailing Info@uppluck.com. We will confirm your cancellation. Cancellation takes effect at the end of the current paid billing period unless your order provides an earlier date or applicable law requires otherwise.

Unless your order states otherwise, cancellation stops future renewals and does not automatically refund the current paid period. This does not affect the approval-denial guarantee, other express refund promises, or statutory rights.

We will give at least 30 days’ notice of changes to recurring pricing. Changes will apply to a future billing period, and you may cancel before they take effect.

A fixed-term or prepaid commitment applies only if clearly disclosed and expressly accepted before purchase.

8. Customer Responsibilities

You agree to:

  • Provide accurate, current business information.
  • Supply only content, trademarks, images, product data, and other materials you are authorized to use.
  • Review business details, pricing, claims, and configured actions before launch.
  • Provide authorized access through appropriate secure methods.
  • Maintain required third-party accounts, subscriptions, licenses, and permissions.
  • Notify us promptly when business information changes or an error is discovered.
  • Comply with laws and platform rules applicable to your business and use of the services.

Do not send passwords, payment card details, or other sensitive credentials through ordinary email.

9. Acceptable Use

You may not use our services for unlawful conduct, fraud, impersonation, deceptive advertising, infringement, unauthorized data access, spam, or activities prohibited by the applicable platform.

You may not submit sensitive personal information, such as health records, Social Security numbers, or full payment card details, unless we have expressly agreed in writing to support that information and established the required safeguards and contractual terms.

We may suspend affected functionality when reasonably necessary to address a security threat, unlawful activity, or material violation. Where practical, we will provide notice and an opportunity to resolve the issue.

10. AI Outputs and Customer Transactions

AI-generated responses may be inaccurate, incomplete, or outdated. Important business details and consequential actions should be verified.

A response describing availability, a price, or a booking does not itself confirm a transaction unless the connected business system provides confirmation.

You remain responsible for your products, services, customer commitments, fulfillment, returns, professional advice, and legally required disclosures.

11. Third-Party Platforms and Availability

Our services may depend on OpenAI, hosting companies, payment processors, APIs, and other third-party systems.

Those providers control their own terms, pricing, security practices, service availability, and technical requirements. Outages or platform changes may interrupt service or require modifications.

We will communicate material impacts we learn about and explain any proposed work outside your purchased scope before charging for it.

12. Ownership and Use of Materials

You retain ownership of materials you provide. You grant us permission to use those materials only as reasonably necessary to deliver, maintain, and support your services.

We and our licensors retain ownership of pre-existing software, reusable components, templates, development methods, and tools. Ownership or licensing of custom deliverables, source code, and transferable accounts will be stated in your order or written agreement.

We will not publish your name, logo, testimonial, or results as a case study without your permission.

13. Confidentiality and Privacy

Each party will protect the other party’s nonpublic business information using reasonable care and use it only to perform the agreement, unless disclosure is authorized or legally required.

Our Privacy Policy explains how we handle personal information. Where we process your customers’ personal information on your behalf, additional data-processing terms may be required.

14. Warranties and Limitations

We will perform our services with reasonable care and skill.

Except for express commitments in these Terms or your order, and to the extent permitted by law, we do not warrant uninterrupted operation, error-free AI outputs, approval, or particular commercial results.

Nothing in these Terms excludes a warranty, remedy, or responsibility that cannot lawfully be excluded.

15. Liability

To the extent permitted by law, neither party will be liable for indirect or consequential losses arising from the services, including lost profits or lost business opportunities.

To the extent permitted by law, our aggregate liability arising from a particular service will not exceed the amount you paid us for that service during the 12 months before the event giving rise to the claim.

These limitations do not limit our express refund obligations, fraud, willful misconduct, gross negligence, or liabilities that applicable law does not permit us to limit. They do not waive statutory consumer protection rights.

16. Termination and Service Discontinuation

Either party may terminate for a material breach that remains unresolved 15 days after written notice, unless the breach requires immediate action or cannot reasonably be cured.

If we permanently discontinue a prepaid service for reasons unrelated to your breach, we will refund the unused prepaid portion.

When hosted services end, dependent plugin functionality may stop. Any transfer, export, transition assistance, or source-code delivery will follow your written order and applicable legal requirements.

17. Governing Law and Disputes

These Terms are governed by Massachusetts law, without overriding mandatory protections that apply where you reside.

Unless applicable law requires otherwise, disputes may be brought in courts of competent jurisdiction in Massachusetts. Nothing in these Terms prevents a party from using an eligible small claims court or contacting a government agency.

18. Changes to These Terms

We may update these Terms prospectively and will post the revised effective date. For material changes affecting an existing subscription, we will provide reasonable advance notice and obtain consent where required.

Changes will not retroactively reduce an existing refund guarantee or resolve a dispute under different terms without your agreement.

19. Order of Precedence and Severability

A signed service agreement controls over conflicting provisions in these Terms, except that an express purchase guarantee will not be reduced without your specific agreement and as permitted by law.

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law.
